Licensing Agreement

This Licensing Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and Shadcn/UI Figma for the use of our design system, Figma plugin, and related materials (collectively, the "Products"). By purchasing, downloading, or using our Products, you agree to be bound by the terms of this Agreement.

1. License Grant

Subject to the terms and conditions of this Agreement, we grant you a non-exclusive, non-transferable license to use the Products in accordance with your selected plan:

• Personal License: Allows use by a single individual on unlimited projects
• Team License: Allows use by up to the specified number of team members within a single organization
• Enterprise License: Allows use by unlimited team members within a single organization with additional support and customization options

2. Permitted Uses

You are permitted to:

• Use the Products to create designs for personal or commercial projects
• Modify the design components to suit your project requirements
• Generate code from the design components using our Figma plugin
• Use the generated code in your commercial and personal projects
• Create unlimited end products for yourself or your clients
• Share design files with clients for the purpose of project collaboration, provided they do not retain access after project completion

3. Restrictions

You are NOT permitted to:

• Redistribute, resell, lease, license, or sublicense the Products or any modified version thereof
• Share your license with individuals outside your licensed team or organization
• Use the Products to create competing design systems or component libraries for distribution or sale
• Remove or alter any copyright, trademark, or other proprietary notices from the Products
• Use the Products in any way that violates applicable laws or regulations
• Share access credentials or license keys with unauthorized individuals
• Create derivative products that are sold or distributed as design resources, templates, or themes

Your license includes:

• Access to all product updates and improvements during your subscription period
• Technical support via email and our help center
• Access to documentation and learning resources
• Community forum access for peer support and discussions

Enterprise licenses include priority support with guaranteed response times and dedicated account management.

6. Ownership and Intellectual Property

The Products, including all design files, code, documentation, and related materials, are owned by Shadcn/UI Figma and are protected by copyright, trademark, and other intellectual property laws. This Agreement grants you a license to use the Products but does not transfer any ownership rights to you.

You retain ownership of the end products you create using the Products, including any modifications or customizations you make to the components.

7. Subscription and Renewal

Most licenses are sold on a subscription basis:

• Subscriptions automatically renew at the end of each billing period unless cancelled
• You will be charged the then-current subscription rate upon renewal
• You may cancel your subscription at any time through your account settings
• Upon cancellation, you will retain access to the Products until the end of your current billing period
• If your subscription expires or is cancelled, you must stop using the Products unless you purchase a new license

8. Refund Policy

We offer a 14-day money-back guarantee from the date of purchase. To request a refund:

• Contact our support team within 14 days of purchase
• Provide your purchase details and reason for the refund request
• Cease all use of the Products upon receiving the refund

Refunds are not available for renewal charges if you have continued to use the Products during the renewal period.

9. License Validation and Compliance

We may use technical measures to validate your license and ensure compliance with this Agreement. You agree not to circumvent or attempt to circumvent any such measures. We reserve the right to audit your use of the Products to ensure compliance with the terms of your license.

10. Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this Agreement. Upon termination:

• You must cease all use of the Products
• You must delete or destroy all copies of the Products in your possession
• Projects created while your license was active may continue to be used
• You may not create new projects using the Products

11. Warranty Disclaimer

THE PRODUCTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PRODUCTS WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE PRODUCTS WILL BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of Liability

IN NO EVENT SHALL SHADCN/UI FIGMA BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify you of any material changes by posting the updated Agreement on our website and updating the "Last updated" date. Your continued use of the Products after such modifications constitutes your acceptance of the updated Agreement.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which our company operates, without regard to its conflict of law provisions. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
